1.0 GOVERNANCE

1.1 Board of Directors

The governing body of APEX is the Board of Directors, as stipulated in APEX’s Bye-laws. The Board consists of the Chairperson, the Vice Chairperson, the Secretary, Treasurer, and such other officers as the APEX may appoint

The Board of Directors is responsible for providing strategic leadership, policy direction, and oversight for the APEX. The Board ensures that the organization operates in accordance with its mandate, bylaws, regulatory requirements, and best governance practices. It oversees the management and use of the APEX’s resources, safeguards the interests of member societies, and promotes transparency, accountability, and sustainable growth.

The Board also supervises the implementation of policies and programmes, approves budgets and major decisions, and ensures that the APEX fulfills its objectives effectively and efficiently.

 

1.2 Committees of the Board
The BOD may appoint ad hoc committees as it may deem necessary and shall define the scope and duties of such committees. One of such committees is the supervisory committee


Supervisory Committee / Internal Audit

The Supervisory Committee serves as the independent oversight body of the APEX and is responsible for ensuring accountability, transparency, and compliance within the organization. The Committee is made up of qualified and independent members elected by the Member Societies at the Annual General Meeting.

The Committee reviews the financial statements of the APEX, monitors internal control systems, ensures compliance with the bye-laws and regulatory requirements, and assesses whether the Board of Directors is effectively carrying out its responsibilities. It also reports its findings and recommendations to members at the Annual General Meeting.
